PLEASE READ THESE TERMS CAREFULLY. THEY GOVERN YOUR USE OF THE SERVICES AND CONTAIN IMPORTANT INFORMATION ABOUT YOUR RIGHTS AND OBLIGATIONS, INCLUDING LIMITATIONS OF LIABILITY.
In these Terms:
By starting or submitting a Request, ticking the acceptance box, or otherwise using the Services, you confirm that you have read, understood and agree to be bound by these Terms and by the Scriptify Care Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Services. The version of these Terms in force when you submit a Request applies to that Request, and Scriptify records the version you accepted.
3.1 Scriptify operates a technology platform that connects patients with independent Healthcare Providers and facilitates the exchange of information between them. Scriptify does not practise medicine, nursing or pharmacy, does not provide medical, nursing or pharmaceutical advice, diagnosis or treatment, and does not review, direct, approve or control any clinical decision.
3.2 Each Healthcare Provider is an independent professional, not an employee, agent or partner of Scriptify, and is solely responsible for the professional services they provide, in accordance with the standards of their regulatory college. Any clinical judgment, advice, prescription, refusal or referral is that of the Healthcare Provider alone.
3.3 The Consultation Service is provided in writing only. There is no telephone, video or in-person component, and no physical examination. The Assessment Service is an intake reviewed by a Pharmacist; the Pharmacy, not Scriptify, communicates with you about the outcome.
3.4 Nothing on the Platform constitutes medical advice or creates a physician-patient, nurse practitioner-patient or pharmacist-patient relationship with Scriptify. A relationship with a Healthcare Provider, if any, exists only between you and that Healthcare Provider and only in respect of the Request they accept.
By using the Services you represent and warrant that:
(a) for the Consultation Service, you are at least 18 years of age and are submitting the Request for yourself; for the Assessment Service, you are the patient and at least 18, or you are the parent, legal guardian or substitute decision-maker of the patient and are authorized to provide the patient's information and to consent on the patient's behalf; (b) at the time you submit a Request you are physically located in a province or territory shown on the Platform as one in which the relevant Service is offered, and you understand that Healthcare Providers may only provide care to patients located where they are licensed; (c) the name, date of birth, health card number, address, mobile number and any other identifying information you provide are your own, accurate and current, and any identification or insurance document you provide is genuine and yours; (d) you have the capacity to enter into these Terms and to consent to the Services; and (e) you are not using the Services for any purpose prohibited by section 15.
5.1 Healthcare Providers rely entirely on the information you provide. You are solely responsible for ensuring that the information in your Request is true, complete, accurate and current, including all medications, allergies, medical conditions, and pregnancy or breastfeeding status.
5.2 You may decline to answer any question. If you do, you acknowledge that the Healthcare Provider will decide on the basis of the information available, and may decline your Request for that reason.
5.3 You are responsible for maintaining the confidentiality of any private link, code or message sent to you and for all activity that occurs through them.
5.4 You acknowledge that omitted, inaccurate or misleading information may result in an inappropriate or unsafe outcome, and that Scriptify has no ability to verify the clinical accuracy of what you provide.
6.1 Scriptify uses automated tools, including Third-Party Services such as text-reading and artificial-intelligence services, to assist in preparing and organising your Request for review by a Healthcare Provider.
6.2 No personal health information leaves Canada. Information processed by such Third-Party Services is not retained by them and is not used to train any model.
6.3 Automated tools do not provide advice, do not make any determination regarding your care, and do not replace the Healthcare Provider's review of the information you provided in your own words.
6.4 By using the Services you consent to this processing. If you do not wish your information to be processed in this manner, do not use the Services.
7.1 Submission of a Request does not guarantee that any Healthcare Provider will accept it, respond within any particular time, agree with your stated request, prescribe any medication, or provide any particular outcome. Healthcare Providers are free to accept or decline any Request in their sole professional judgment.
7.2 Consultation Requests not accepted by a Clinician within the period stated on the Platform are closed without charge. Scriptify may close, decline or remove any Request at its discretion, including for suspected misuse, technical reasons or unavailability of Healthcare Providers.
7.3 A Clinician may, in their professional judgment, decline to prescribe what you requested, provide advice without a prescription, or recommend that you be seen in person. Each such written reply is a completed consultation.
7.4 Each Request is a single, discrete encounter. The Services do not establish continuing care, and Scriptify does not provide follow-up, monitoring, reminders or ongoing treatment. Any follow-up is a new Request. You should not delay, discontinue or replace other care while a Request is pending.
THE SERVICES ARE NOT INTENDED FOR, AND MUST NOT BE USED IN, MEDICAL EMERGENCIES OR URGENT SITUATIONS. THE PLATFORM IS NOT MONITORED IN REAL TIME AND DOES NOT ASSESS WHETHER YOUR SITUATION IS AN EMERGENCY. IF YOU BELIEVE YOU MAY BE EXPERIENCING A MEDICAL EMERGENCY, CALL 911 OR GO TO THE NEAREST EMERGENCY DEPARTMENT IMMEDIATELY.
9.1 Whether any medication is prescribed is determined solely by the Healthcare Provider. Controlled substances, including opioids, benzodiazepines and stimulants, are not prescribed through the Consultation Service.
9.2 If a prescription is issued, it is transmitted to the pharmacy you selected, and that pharmacy receives your name and the prescription. Scriptify does not dispense medication. Dispensing, product availability, pricing, counselling and any delivery are the responsibility of the pharmacy under its own professional and regulatory obligations. Scriptify is not responsible for any act or omission of a pharmacy, including a failure to receive or act upon a transmitted prescription.
9.3 In the Assessment Service, the Pharmacy determines, under the rules of its province, whether an assessment is billed to a provincial plan, to an insurer, or to you. Scriptify does not charge you for the Assessment Service.
10.1 The applicable fee, inclusive of tax, is displayed before you begin. The fee displayed at the time you submit a Request is the fee that applies to that Request. Scriptify may change fees at any time for future Requests.
10.2 When you submit a Request, you authorize a hold of the fee on your payment card. Payment is processed by a third-party payment processor on its secure pages; Scriptify does not receive or store your card number.
10.3 The fee is charged only when a Clinician approves a written reply, with or without a prescription. No fee is charged, and the hold is released, if no Clinician accepts your Request within the stated period, if the Clinician advises that you be seen in person, or if you cancel before acceptance. The release of a hold by your card issuer may take several business days and is outside Scriptify's control.
10.4 The fee comprises the Clinician's professional fee together with a platform fee payable to Scriptify. Scriptify collects the fee on the Clinician's behalf. Receipts are issued by the payment processor.
10.5 Consultations provided through the Services are not insured services under OHIP or any other provincial health insurance plan, and you remain free to obtain insured care from your own physician, a walk-in clinic or other insured provider.
10.6 Refund requests after an approved reply are considered at the Clinician's discretion. Inquiries regarding charges may be directed to contact@rxscriptify.com.
You consent to receive text messages and, where you provide an email address, emails from Scriptify relating to your Request, including verification codes, private links and status notices. Such messages contain your first name and a link and do not contain clinical details. Standard message and data rates may apply. You are responsible for the security of the device and number you provide.
12.1 Your personal information and personal health information are collected, used and disclosed in accordance with the Scriptify Care Privacy Policy and applicable law, including Ontario's Personal Health Information Protection Act, 2004 and the equivalent legislation of other provinces.
12.2 The Healthcare Provider who accepts your Request, or the Pharmacy that receives your intake, is the health information custodian of the record of your care. Scriptify handles your information on their behalf as a service provider and applies the safeguards described in the Privacy Policy.
12.3 By submitting a Request you consent to: (a) the disclosure of your Request to the Healthcare Provider who accepts it; (b) for the Consultation Service, the display of your Request, without your identity, to Clinicians eligible to accept it; (c) the Clinician consulting your provincial electronic health records where they are authorized to do so for the purpose of your care; (d) the transmission of any prescription and your name to the pharmacy you selected; and (e) the processing described in section 6.
12.4 Scriptify uses your information solely to provide the Services. Scriptify does not sell your information, does not use it for advertising, and does not use it to train artificial-intelligence models.
Scriptify retains Requests and associated images only for the periods stated in the Privacy Policy, after which they are deleted from Scriptify's systems. Healthcare Providers retain their own records as required by their colleges; requests for copies of records after deletion from Scriptify must be directed to the Healthcare Provider. Scriptify retains transaction records, without clinical content, as required by law.
You may cancel a Consultation Request through your private link at any time before a Clinician accepts it, in which case no fee is charged and your Request is deleted. Once accepted, a Request cannot be cancelled. An assessment intake may be abandoned before submission; once submitted it is with the Pharmacy.
You agree not to: (a) submit a Request on behalf of another person except as permitted by section 4(a), or using the identity, payment card, health card or telephone number of another person; (b) provide false, misleading or incomplete information; (c) submit duplicate or repetitive Requests; (d) use the Services to obtain medication for any purpose other than your own lawful treatment; (e) attempt to probe, test, manipulate, circumvent or interfere with the Platform, its security measures or its automated tools, including by submitting instructions or content intended to influence automated processing; (f) copy, scrape, reverse engineer or otherwise misuse the Platform; or (g) use the Services in violation of any law. Scriptify may, without notice or liability, close any Request, suspend or terminate your access, and report conduct to appropriate authorities where it reasonably suspects a breach of this section.
Scriptify may modify, suspend or discontinue the Platform or any Service, in whole or in part, at any time, including for maintenance, security or regulatory reasons. Scriptify does not warrant that the Platform will be available, uninterrupted, timely, secure or error-free. A Request that cannot be completed because of an interruption is closed and no fee is charged.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE PLATFORM AND THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY OR NON-INFRINGEMENT. SCRIPTIFY MAKES NO WARRANTY REGARDING THE QUALITY, ACCURACY, TIMELINESS OR OUTCOME OF ANY PROFESSIONAL SERVICE PROVIDED BY A HEALTHCARE PROVIDER OR PHARMACY.
18.1 Healthcare Providers are solely responsible for the professional services they provide. Scriptify is responsible for operating the Platform as described in these Terms, safeguarding your information in accordance with the Privacy Policy, and processing payments correctly.
18.2 TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SCRIPTIFY, ITS DIRECTORS, OFFICERS, EMPLOYEES AND CONTRACTORS SHALL NOT BE LIABLE FOR: (a) ANY ACT, OMISSION, ADVICE, DIAGNOSIS, PRESCRIPTION, REFUSAL OR REFERRAL OF ANY HEALTHCARE PROVIDER OR PHARMACY; (b) ANY ACT OR OMISSION OF A THIRD-PARTY SERVICE; (c) ANY LOSS ARISING FROM INACCURATE, INCOMPLETE OR WITHHELD INFORMATION PROVIDED BY YOU; (d) ANY DELAY, INTERRUPTION OR UNAVAILABILITY OF THE PLATFORM; OR (e) ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR LOSS OF DATA, HOWEVER ARISING.
18.3 TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SCRIPTIFY'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO A REQUEST SHALL NOT EXCEED THE AMOUNT OF THE FEE YOU PAID TO SCRIPTIFY FOR THAT REQUEST.
18.4 Nothing in these Terms excludes or limits any liability, right or remedy that cannot be excluded or limited under applicable law, including the Consumer Protection Act, 2002 (Ontario).
You agree to indemnify and hold harmless Scriptify and its directors, officers, employees and contractors from any claim, loss, liability or expense, including reasonable legal fees, arising from (a) your breach of these Terms, (b) false, misleading or incomplete information you provide, or (c) your misuse of the Services or of any prescription obtained through them.
Concerns about the professional services of a Healthcare Provider may be raised with the Healthcare Provider directly or with their regulatory college: in Ontario, the College of Physicians and Surgeons of Ontario, the College of Nurses of Ontario, or the Ontario College of Pharmacists, or the equivalent body in the relevant province. Concerns about the Platform may be directed to contact@rxscriptify.com.
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Subject to any non-waivable right under applicable consumer protection law, you agree to the exclusive jurisdiction of the courts of Ontario for any dispute arising out of or relating to these Terms or the Services.
22.1 These Terms, together with the Privacy Policy, constitute the entire agreement between you and Scriptify regarding the Services and supersede any prior understanding. 22.2 If any provision is held invalid or unenforceable, the remaining provisions continue in full force. 22.3 Scriptify's failure to enforce any provision is not a waiver of it. 22.4 You may not assign these Terms. Scriptify may assign them in connection with a merger, acquisition or sale of assets. 22.5 Scriptify may amend these Terms at any time by posting a revised version with a new effective date; the version in force when you submit a Request governs that Request. 22.6 The parties have requested that these Terms be drawn up in English.
